Welcome to the DISIU Limited (DISIU/DISIU BUSINESS) Terms of Use! Thank you for choosing to use our services. The most important contractual and legal conditions that apply to everyone who uses DISIU’s platform services are recalled here. These conditions are necessary to protect all parties, both the end user and/or consumer, and DISIU Limited and make our services more performant and useful for all users and visitors. DISIU offers a wide range of services and functionalities, and many of the conditions set out below may not be relevant to the specific services used by the End User. 1. IntroductionDISIU’s services allow users to access the Platform and dedicated websites easily and functionally to manage and promote their businesses, products, services, and content. As further detailed below, DISIU Limited offers users numerous tools and features for building, navigating websites, online e-commerce platforms, and other online and mobile applications, tools, and services. The websites and the online and mobile platforms created by Users are collectively referred to as the “User Platform”. 2. General Terms and ConditionsThese Terms of Use of DISIU Limited (“Terms of Use”), together with any supplemental terms that specifically address certain of DISIU’s services, constitute the Terms and Conditions, in their entirety, applicable to each of our visitors or users (“User”) of DISIU’s Platform. The DISIU Limited Terms and Conditions constitute a legally binding and valid contract between DISIU Limited and the User concerning the use of the DISIU Services, so please read them carefully. By accessing our Platform and the websites linked to it and using our application and/or services, you enter into a legal agreement with DISIU Limited, consisting of these Terms of Use and the legal terms of any additional services.By using DISIU’s Services, you agree to these Terms and acknowledge that you have read our Privacy Policy. Failure to accept all of our Terms will preclude your use of our Services. 3. User AccountDISIU Limited shall have the right to determine the ownership of User Content and/or a User Platform at its own discretion, even disregarding the above directions, if DISIU Limited deems, in its sole discretion, that the situation warrants such determination, all based on the factual situation as decided by DISIU Limited.To use DISIU’s services, you must create a User Account.Your responsibility is to keep your username and password safe and secure and only allow people you trust to access your account or website settings.All activities that occur on the User Account or on the User’s website are the User’s responsibility.Account information provided by you must be about you (or your company) and must be lawful, truthful, accurate, and complete.In case of any dispute regarding a user account, DISIU Limited reserves the right to verify the ownership of such user account. Obligations of the User  You represent and warrant: that you are at least eighteen (18) years of age or sixteen (16) years of age if you are a resident of the European Union (EU) or are of the legal age of majority in your country and that you have the legal authority, right and freedom to enter into the Conditions of DISIU Limited and to enter into a binding agreement, on behalf of the User or the natural or legal person bound by the User to the DISIU Limited Terms;that your state of residence and/or the state of incorporation of your company and/or corporation is the same state as specified in the contact information and/or billing address provided to us by you;

to acknowledge that DISIU Limited does not provide any legal advice or any recommendation concerning any law or regulation applicable to the use by the User or any of its End Users or to the User’s compliance herewith;

the User confirms that he/she owns all rights to any content, services, or products uploaded or provided by the User, or marketed, sold, imported, copied, or uploaded by the DISIU Services for the User on the User Platform (“User Content”), including all designs, images, animations, videos, audio files, fonts, logos, code, illustrations, compositions, artwork, interfaces, usernames, the information provided to create a subdomain name, text, literary works and any other material (“Content”) or otherwise has (and will continue to have) full right, power, faculty, title, licenses, consents, and authority, concerning the User Content, to the extent necessary for the User, DISIU Limited or any of DISIU Limited’s affiliates to lawfully access, import, copy, use, publish, transfer or license such User Content;

the User has (and will retain) full power, title, licenses, consents, and authority to allow DISIU Services to access any website, web page, and/or other online services for the purpose of importing, copying, displaying, uploading, transmitting and/or otherwise using the products and/or services and/or User content.the products and/or services and/or User content are (and shall continue to be) legal and/or otherwise lawful, truthful, up-to-date, accurate, not intended to infringe the rights of third parties and such that they may be lawfully purchased, transferred, imported, uploaded, possessed, transmitted displayed or otherwise used by the User in the country in which the User or visitors and users of the User Platform (“End Users”) reside and/or reside or which DISIU Limited and/or End Users may access and may import, copy, upload, use or possess in connection with the DISIU Services;

that you have obtained all necessary consents and permissions under all applicable laws regarding the right to “post,” transmit and publish any personal information and/or image or representation of any person, institution, company, firm, entity, or property that is part of the User Content, and to adhere to all applicable laws therein. User agrees and consents to: carefully observe all national, EU and international laws and all other legal and contractual conditions governing the use of the DISIU Services (and any related interaction or transaction), including those specific laws applicable to the User or its End Users in any of its geographic areas;to be solely responsible and guarantor of respect for any and all use of the DISIU Services that takes place on your User Account and/or User Platform, as well as for any and all User Content (including for any consequences resulting from accessing, importing, uploading, copying, using or publishing such content or with respect to our services);

receive promotional messages and materials from DISIU Limited or its partners from time to time, by post, email or any other form of contact that you may provide to us (including your telephone number for making calls or sending text messages). If you do not wish to receive such promotional materials or communications, you may opt out at any time;

allow DISIU Limited to use in perpetuity, worldwide and free of charge, any version of its User Platform (or any part thereof) for any DISIU Limited marketing and promotional activities, online and/or offline, and to modify it as reasonably necessary for such purposes and waive any claims against DISIU Limited or anyone on its behalf concerning any past, present, or future moral rights, artists’ rights, or other similar rights throughout the world you may have in or to your User Website in connection with such limited permitted uses.

It is at the sole discretion of DISIU Limited, the choice of means, ways, and methods to perform our Services, including those regarding the hosting, transmission, publication, and/or display of all Platforms and/or User Content (including the inclusion and presentation of any advertising or other commercial content with respect to that).DISIU Limited shall have the right to offer the DISIU Services under alternative pricing plans and impose different restrictions regarding the uploading, storage, downloading, and use of the DISIU Services under each pricing plan, including, without limitation, restrictions on network traffic and bandwidth, size and/or duration of content, quality and/or format of content, sources of content, the volume of download time, number of subscribers to User Content, etc.The User must comply with all laws and regulations applicable therein.You will be responsible for your own actions and the actions of anyone who accesses your User Account or your Website settings.You agree that DISIU Limited or our partners may send you promotional messages and content. The User can easily opt-out of receiving promotional messages by contacting DISIU Limited.You authorize DISIU Limited to use its platform and related and/or connected websites for our promotional activities and to determine how the services will be performed. You agree to and undertake not to:copy, modify, reuse, create derivative works from, download, adapt, reverse engineer, emulate, migrate to another service, translate, compile, decompile or disassemble the DISIU Platform, DISIU Services (or any part thereof), the content offered by DISIU Limited or Third Party Services for use and display within the User Platforms (“Licensed Content”) and/or any portion thereof in any manner, or publicly, perform, transmit or distribute any of the preceding, without the prior written and specific consent of DISIU Limited and/or as expressly permitted by the DISIU Limited Terms;post, transmit or display any of the User Content, or use the Licensed Content in a context that could be considered defamatory, libelous, obscene, harassing, threatening, seditious, abusive, racist, homophobic, offensive, deceptive or fraudulent, encouraging criminal or persecutory or harmful conduct, or otherwise violate the rights of DISIU Limited or any third party (including intellectual property rights,

Any person or institution or entity, or state or imply by untrue statements that DISIU Limited or any third party shares the User Platform, the User’s business, the User’s Products or any statement made by the User;Interfere with or violate any other user’s right to protection of their privacy or other rights, or collect or acquire personal information about visitors or users of the DISIU Services and/or User Platform without their express and informed consent;Disable, circumvent, ignore, or otherwise avoid measures to prevent or limit access to the DISIU Services, the User Platform, the account of one or more users other than the User, or other systems or networks connected to the DISIU Services by “hacking,” “password mining,” or other illegitimate and prohibited means;

Probing, scanning, or testing the vulnerability of the DISIU Services or any network connected to the DISIU Services;upload to the DISIU Services and/or the User Platform or otherwise use the same to design, develop, distribute and/or otherwise transmit or execute any virus, worm, Trojan horse, time bomb, web bug, spyware, malware, or any other computer code, file or program that may be or is intended to damage or hijack the operation of any hardware, software or telecommunications equipment or any other code or component that is actually or potentially harmful, disruptive, or invasive;

Take any action that imposes an unreasonable or disproportionate load on the DISIU Services infrastructure or DISIU Limited’s systems or networks connected to the DISIU Services, or otherwise interfere with or disrupt the operation of any DISIU Services or the servers or networks that host or make them available, or fail to comply with the requirements, procedures, policies or regulations of such servers or networks;Use any DISIU Service and/or User Platform in connection with any form of spam, junk mail, fraud, scamming, phishing, “chain letters,” “pyramid schemes,” or similar behavior, or otherwise engage in unethical marketing or advertising;Access to DISIU Services, User Accounts, Licensed Content, and/or User Content by any means or technology (e.g., scraping or crawling) other than through our publicly supported interfaces.sell, license or exploit for commercial purposes any use of or access to the Licensed Content and/or DISIU Services, except as expressly permitted by the DISIU Limited Terms;remove or alter copyright notices, watermarks, restrictions, and marks indicating proprietary rights of anyone of our licensors, including the copyright mark [©], Creative Common [(cc)] indicators or trademarks [® or ™] contained in or accompanying the DISIU Services and/or Licensed Content;violate, attempt to violate, or otherwise, fail to comply with any of DISIU Limited’s terms or any law or regulation applicable to your use of the DISIU Services;Access or use DISIU’s Services for benchmarking or similar competitive analysis purposes or to create a competitive product or service. You acknowledge and agree that your failure to comply with any of the above obligations, or any misrepresentation made by you according to it, may result in immediate termination of your User Account and/or any Services provided to you, with or without further notice and without any refund of amounts paid because of such Services. In general, DISIU Limited intends to ensure that you are respectful and avoid taking any action that may harm DISIU Limited or anyone else. Finally, you may not copy DISIU Limited’s materials, use any content in an illegal or harmful manner, use DISIU’s services or content on any platform or website not provided by us, Make false statements or misuse DISIU’s services or otherwise violate the rights of any individual or any applicable national, EU, and/or international law. Failure to comply with any of these legal and contractual provisions may result in the cancellation of your User Account and the termination of the provision of any services to you. E-Commerce GeneralitiesThe DISIU Services include features that enable the sale of goods, content, photos and videos, event tickets, and services through the User Platform (“User Products,” collectively referred to as “e-Commerce”). You shall be solely responsible for your User Products and related e-Commerce activities, as well as any promotions and related content on or referenced in your User Platform, as well as compliance with applicable laws. DISIU Limited will only provide the User with the Platform on which the User can manage its online e-Commerce activities. We are not involved in the relationship and/or any user’s transaction with any actual or potential buyers of the User’s Products.  In the case of User’s purchase of Products, payments for such transactions will be processed through a third party payment service provider called STRIPE (“Payment Provider”).  Payment providersDepending on the country, geographic area, and/or location, please review the Terms of Use before posting on your site and accepting any payments. Any account associated with Payment Providers shall be governed by the terms of service of such Payment Providers. DISIU Limited is neither a party to nor liable in any way for the User’s relationship with such Payment Providers, nor for the actions of such Payment Providers and/or the malfunctioning of the said Payment Providers. The purchase of services, the subscription and the activation of one’s account to activate online payments are carried out through the Stripe platform, which holds personal data and all information relating to the payment method (Credit Cards, Debit Cards, Prepaid Cards, ATMs etc. etc.). Commissions for online payments DISIU/STRIPE will charge the User commission fees for products and/or services and/or content sold through its site. The User agrees to pay such commissions, as required by DISIU/STRIPE and authorizes DISIU/STRIPE to request from its partners payment processors or the User’s payment provider, as applicable, to deduct such fees from the User’s relevant transactions or otherwise collect such fees. Acknowledgments and guarantees in the field of e-Commerce:By using DISIU Limited’s e-Commerce platform, you acknowledge, warrant, and agree to the following:The User is solely and exclusively responsible for all Taxes and Fees of any nature associated with its e-Commerce activities, including any Taxes related to the purchase or sale of the User’s Products, as well as for collecting, declaring, and paying the exact amounts to the competent authority and/or informing its End-Users about such payments and providing them with a duly issued invoice and/or receipt as required by national and/or EU and/or international law; The fees and/or Taxes, if any, indicated by the e-Commerce features provided to the User by DISIU Limited are provided for illustrative purposes only and can in no way be relied upon; The User is responsible for and bears all costs of procurement and delivery of its User Products and for providing the same safely and professionally, in line with commercial and/or industry standards; DISIU at any time by the instructions available on DISIU’s Services. The effective date and time of such cancellation shall be the date and time on which the DISIU Services cancellation process was completed. The effective date of cancellation of the Paid Services shall be set at the end of the subscription period for such cancellation Paid Services. Notwithstanding the foregoing, with respect to subscriptions to Paid Services in the Renewal Phase, such subscription will be terminated only after the expiration of the respective period for which payment has already been made. Cancellation by DISIU LimitedFailure to comply with any of DISIU Limited’s Terms and/or failure to pay any fees shall entitle DISIU Limited to suspend (until paid in full) or cancel the User Account and the User Platform (or certain features thereof), as well as the provision to the User of DISIU’s related services (without limitation, the Paid Services) or Third Party Services.Loss of Data, Content, and Capacity Where your User Account or any DISIU Service or Third Party Service related to your User Account is canceled (whether at DISIU Limited’s request or discretion), this may cause or result in the loss of certain content, features or the capacity of your User Account, including any User Content, End User data or other usage data stored therein, including any domain name reservation or registration that is included in such services (“Capacity Loss”). DISIU Limited shall not be held liable in any way for such loss of capacity or for saving a backup of User Account data, User Content, or End User data. Third Party ServicesDISIU’s Services allow you to engage and procure certain Third Party services, products, and tools designed to enhance the User Platform and the overall User experience, including, without limitation, domain registrars from which you may purchase a domain name for your User Website, third-party applications, and widgets offered through DISIU’s Platform, third-party Licensed Content, media item distribution services, Payment Providers for e-Commerce, tangible product vendors, third-party designers who may assist the User with their User Platform, etc. (collectively, “Third Party Services”). The User acknowledges and agrees that regardless of how such Third Party Services may be offered to the same (bundled or integrated with certain DISIU Services, offered separately by DISIU Limited or by persons certified or authorized by DISIU Limited, or otherwise offered as part of the DISIU Services), DISIU Limited is only acting as an intermediary platform between the User and such Third Party Services and shall not in any way endorse such Third Party Services or be held responsible in any way in this regard. DISIU Limited shall not be a party to or in any way be held responsible for monitoring any interaction or transaction between the User and any Third Party Services. You acknowledge that such Services may require you to pay additional amounts to DISIU Limited and/or the third party providers of such Services. Any use of such Third Party Services shall be at your sole risk and responsibility and may be subject to the legal and financial terms governing such Third Party Services, so please review them carefully before committing. If you use any third party services, software, or assets while using our Services, you agree to comply with their terms of use. For example, if you use YouTube while using the Services, you must comply with YouTube’s applicable terms of service and privacy policy as in effect on the date you use those services. DISIU Limited may, at any time and in its sole discretion, suspend, disable access to, or remove from the Account User, the User Platform(s) and/or DISIU Services, any Third Party Services, where not incorporated into or made part of the User Account and/or the User Platform(s) at that particular time, without any liability to the User or any of the End Users. Misconduct and copyrightNegligence and abuseWhile using DISIU’s services, the User may be exposed to User Platforms, User Content, or Third Party Services from various sources, which may be inaccurate, offensive, objectionable or illegal. Accordingly, you waive any legal right, right in equity, or remedy you have or may have against DISIU Limited in this regard. Where you believe that a User or any Third Party Service has acted inappropriately or otherwise misused any DISIU Service, please report such User and/or Third Party Service to us immediately. You agree that your report does not impose any liability on DISIU Limited and that DISIU Limited may consider such report and act on it, refrain from any action or request further information or documents before doing so, at its sole discretion. Where the User witnesses or experiences misconduct or conduct  Abusive by anyone using our services, please notify us immediately. CopyrightsDISIU Limited acts by EU and international copyright protection legislation. If you believe that your work has been copied or otherwise used in a way that constitutes copyright infringement, you may notify DISIU Limited of such infringement via this form or otherwise provide the following information in writing to our Designated Copyright Agent: (1) the details of the person authorized to act on behalf of the copyright owner; (2) a description of the copyrighted work that you believe has been infringed; (3) a description of the material that you believe has been infringed or made infringing and should be removed or access to which should be disabled, as well as information sufficient to enable DISIU Limited to locate the material (including URL addresses); (4) a statement made in good faith that the use of the material in the manner complained of was not authorized by the copyright owner, its agent, or the law; and (5) a statement by you that the information in the notification is accurate and that, under penalty of perjury, you are the copyright owner or authorized to act for account of the owner of a copyright that is allegedly infringed. DISIU Limited’s copyright agent can be contacted at the following address: DISIU LIMITED2, Lower Cross Street County GalwayH91 C6X2IRELAND Country For the attention of:Responsible COPYRIGHT [©]  Email address:support@disiu.info If DISIU Limited receives notice of a copyright infringement relating to the User Account or User Platform, DISIU Limited shall be entitled to cancel the User Account, deactivate the User Platform or remove any of the content at its sole discretion, with or without notice. In such event, the User shall be entitled to submit an appropriate counter-notification, in which the foregoing shall include: (1) your full name, address, telephone number, and physical or electronic signature; (2) identification of the material and its location before removal; (3) a statement under penalty of perjury that the material was removed by mistake or misidentification; (4) your consent to appeal to a court of law   Page 14 Version 01062021and (5) any other information required under the relevant provisions of copyright law. If any of your copyrighted works have been misused by one of our Users, please inform us and provide us with all necessary information, and we will take action under the relevant copyright legislation. If we receive a notice of copyright infringement regarding your Website or User Content, we may remove or cancel your Website and User Account in question. Exclusion of guaranteesDISIU Limited provides Services “as is,” “with all faults,” and “as available,” without warranties of any kind, including warranties of merchantability or implied conditions, fitness for a particular purpose, skill, non-infringement, or any other warranty, all to the fullest extent permitted by law. DISIU Limited specifically does not represent or warrant that its Services (or any part, feature, or content thereof) are complete, accurate, of any given quality, reliable and secure in any way, suitable for or compatible with any of the intended activities, devices, operating systems, browsers, software or tools of the User (or their End Users) (or that the foregoing will remain as such at all times), or to comply with all laws applicable to you or your End Users (including, applicable laws in any jurisdiction in which you operate), or that their operation is free of viruses, bugs or other harmful components or program limitations. In addition, DISIU Limited does not endorse any entity or any product or service (including any Third Party Services) mentioned above or made available through the DISIU Services, so you should make sure to check the above before proceeding to use them or before deciding to include them in any way. DISIU Limited may, in its sole discretion (but is not obligated to do so), screen, monitor, and/or modify any User Platform and/or User Content, at any time and for any reason, with or without notice. Notwithstanding the foregoing, in no event shall DISIU Limited be deemed to be a “publisher” of any of the User Content, nor shall it represent or in any way endorse the User Content and shall not assume any liability for any User Content uploaded, submitted, posted and/or made available by any User or any third party and/or through the DISIU Services, for any use by any party or for any loss, nullification or damage hereunder or any loss, damage, cost or expense arising hereunder that the User or others may incur or may suffer as a result of or in connection with the posting, access and/or reliance  Page 15 Version 01062021personal and/or other information stored therein; (4) the interruption or termination of DISIU’s transmission or Services; (5) the use or display of any Content or Content posted, emailed, transmitted, or otherwise made available by you through DISIU’s Services; and/or (6) events beyond the reasonable control of DISIU Limited, including any Internet failures, equipment failures, power failures, strikes, labor disputes, riots, insurrections, civil unrest, labor or material shortages, fires, floods, storms, earthquakes, explosions, acts of God, war, acts of terrorism, pandemics, epidemics, governmental intervention, orders of judges, agencies or courts, or failure of third parties to perform, and/or (7) loss of use, data, profits, goodwill, or other intangible losses resulting from the use of or inability to use any or all DISIU Services. The User acknowledges and agrees that such limitations of liability are agreed allocations of risk that constitute in part the consideration for the DISIU Services granted to the User and that such limitations will apply even if DISIU Limited has been informed of the possibility of such obligations. CompensationYou agree to defend, indemnify and hold harmless DISIU Limited, its officers, directors, shareholders, employees, affiliates, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including legal fees) arising from: (1) your violation of any term of these Terms of Use or other Terms of DISIU Limited; (2) your violation of any third party rights, including any copyrights, access rights, proprietary rights, or privacy rights, arising from your User Platform or User Content and/or your use of DISIU’s services including, without limitation, the actions of DISIU’s services on your behalf; and/or (3) any other claims relating to any damages caused to any third party by your User Platform and/or User Content. Where DISIU Limited is sued or sued or compromised due to any act for which the User is responsible, the User shall bear the associated costs and damages. VariousChanges and updatesDISIU Limited reserves the right to modify, suspend or discontinue any DISIU Service (or any features thereof or the prices applicable thereto) and/or cancel your access to any DISIU Service (including the removal of materials created by you in connection with DISIU Services) for any reason and/or modify the DISIU Limited Terms, with or without notice, in any Page 17 Version 01062021TransferDISIU Limited may assign its rights and/or obligations hereunder and/or transfer its rights and title to the DISIU Services and/or Licensed Content to third parties without the User’s consent or without prior notice. You may not assign or transfer any of your rights and duties hereunder without the prior written consent of DISIU Limited. Any attempted or actual assignment of the above without the prior express written consent of DISIU Limited shall be void. In any event, an assignment or transfer according to this Section 12.5 shall not in and of itself grant DISIU Limited or the User the right to cancel all DISIU Services or Third Party Services then in effect. DISIU Limited is entitled to assign its rights and obligations to third parties. However, the User may only do so with the prior written consent of DISIU Limited. Partial invalidity of the general conditionsWhere any provision contained in the DISIU Limited Terms is held to be unlawful, illegal, void, or for any reason unenforceable by a court of competent jurisdiction, such provision shall be deemed void and shall not affect the validity and enforceability of the remaining provisions. No waiver of any breach or default of any of DISIU Limited’s Terms shall be deemed to be a waiver of any previous or subsequent breach or default. InterpretationThese Terms of Use have been written in Italian and translated into English. In case of conflict between the two versions, the Italian version shall prevail.The translated version (in English) of these Terms is provided for your information only.
